Matters and Commercial Transactions. Our work in
this area covers the field of business and financial
law, including both organizational and transactional
work for new business ventures, individuals, and all
sizes of existing business entities. The scope and sophistication
of our corporate work ranges from corporate organizations
to private placement offerings by issuers of securities.

Litigation.
The firm's civil litigation practice consists of trial
and appellate work in state and federal courts including
general civil litigation, business disputes, contract
disputes, personal injury, real estate matters, securities
violations, divorce and other domestic relations,
construction, collections, and insurance defense.

Commercial
Financing. Our work in the commercial financing
arena ranges from representation of both local and
national banks in bond issues and other major financings
to small business loans and refinancings. Ms. Womack,

Real
Estate. We conduct a broad-based real estate practice
for individual, corporate and banking clients, including
both commercial and residential purchases, sales and
financing, construction lending, developer sales,
commercial leasing, mortgage lending, zoning, and
condominium and land development projects. Residential
and commercial purchases, sales and refinancings are

Trusts
and Estates. The firm offers sophisticated, tax-motivated
and non-tax- motivated estate planning services to
individuals, including those with substantial closely-held
businesses, qualified retirement plans and other forms
of accumulated wealth. The firm's practice also includes
estate and trust administration advice and services
and post-mortem estate planning. Mr. Howard-Smith.
Tax.
The firm offers advice and representation in federal,
state and local tax matters, including business and
investment structuring; estate, gift and generation-skipping
taxation, general corporate and individual income
tax planning; and tax controversy matters. The firm
limits tax compliance work (tax return preparation)
to unusual situations which require special handling,
preferring to encourage our clients to establish and
maintain a relationship with a certified public accountant
